Terms of Service

1. Acceptance of Terms

By accessing or using the SubRanker platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Platform. Your continued use after changes are posted constitutes acceptance of the revised Terms.

2. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access to your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

3. User Roles

The Platform supports multiple user roles: subcontractors and contractors. Each role has specific permissions and responsibilities. You agree to use the Platform in a manner consistent with your selected role and to not misrepresent your professional qualifications, licenses, or certifications.

4. Content and Reviews

You retain ownership of content you submit to the Platform (reviews, ratings, comments, job postings, equipment listings). By submitting content, you grant SubRanker a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content in connection with operating the Platform.

4.1 Review Guidelines

• Reviews must be based on genuine, firsthand experiences
• You may not review yourself or use fake accounts to post reviews
• Reviews must not contain defamatory, abusive, or threatening content
• Payment and safety warnings must be factual and made in good faith
• Reviews may be edited within 48 hours of posting
• Reviews that receive multiple reports may be flagged for moderation

4.2 Content Moderation

We reserve the right to remove or restrict content that violates these Terms or our community guidelines. Content receiving three or more reports will be automatically flagged for review by our moderation team.

5. Prohibited Use

You agree not to:

• Use the Platform for any unlawful purpose
• Post false, misleading, or defamatory content
• Harass, threaten, or intimidate other users
• Manipulate ratings or reviews through fake accounts or incentivized reviews
• Attempt to gain unauthorized access to other accounts or Platform systems
• Use automated tools to scrape data or interact with the Platform without authorization
• Interfere with or disrupt the Platform or its infrastructure
• Circumvent rate limits, anti-abuse measures, or security features
• Impersonate another person or misrepresent your affiliation with any entity

6. Payments and Transactions

Certain services on the Platform (equipment rentals, premium subscriptions) involve payments processed through Stripe. By making a payment, you agree to Stripe's terms of service. SubRanker is not responsible for errors or disputes related to third-party payment processing.

Refund and cancellation policies are specified at the time of each transaction. Equipment rental disputes are handled through our dispute resolution process.

7. Intellectual Property

The Platform and its original content (excluding user-submitted content), features, and functionality are owned by SubRanker and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Platform without our express written consent.

8. Disclaimers

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. SubRanker does not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Reviews or ratings are accurate, complete, or reliable
• Any contractor or subcontractor will meet your expectations
• License verification results are current or comprehensive

SubRanker is a platform for information sharing and does not endorse, verify, or guarantee the quality of any user's work, services, or products.

9. Limitation of Liability

To the maximum extent permitted by applicable law, SubRanker and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of the Platform.

In no event shall our total liability to you exceed the amount you have paid to SubRanker in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless SubRanker and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Platform, your content, or your violation of these Terms.

11. Dispute Resolution

Any disputes arising from these Terms or the Platform shall first be addressed through good-faith negotiation. If a resolution cannot be reached, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Termination

We may terminate or suspend your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Platform will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
